Venture Capital Trust (VCT) Relief: 2026/27 UK Tax Guide

Venture Capital Trust (VCT) Relief remains a cornerstone of tax planning for high-net-worth individuals investing in early-stage UK companies. However, the Finance Act 2026 introduced substantial structural changes to the scheme, fundamentally altering the tax landscape for the 2026/27 tax year.

This guide provides tax professionals with a detailed breakdown of the updated VCT framework, covering the reduced rate of income tax relief, the extension of the sunset clause, and ongoing exemptions for dividends and capital gains.

The Sunset Clause Extension to 2035

Historically, the VCT and Enterprise Investment Scheme (EIS) frameworks contained a sunset clause that threatened to end income tax relief for shares issued after 5 April 2025.  To continue encouraging private investment in smaller, younger companies, the government extended this deadline by a decade.

Section 261(3) of the Income Tax Act 2007 (ITA 2007) now clearly states that eligibility for relief requires the shares to be issued before 6 April 2035.

“(3) A is eligible for VCT relief by reference to any shares only if— (za) the shares are issued before 6 April 2035,”

Front-End Income Tax Relief: The Drop to 20%

The most critical update for the 2026/27 tax year is the reduction in the rate of “front-end” income tax relief. Previously, investors enjoyed a 30% tax reduction on qualifying VCT subscriptions.

Section 15 of the Finance Act 2026 directly amended section 263(2) of ITA 2007, cutting this rate effective from 6 April 2026.

“(2) In section 263(2) (form and amount of relief), for “30%” substitute “20%”.”

Therefore, for the 2026/27 tax year, individuals aged 18 or over who subscribe on their own behalf for new ordinary shares receive a 20% income tax reduction.

Investor Eligibility and Limits

To claim this relief, the investor must meet strict statutory conditions under section 261 of ITA 2007:

  1. Genuine Commercial Reasons: The investor must subscribe for the shares for genuine commercial reasons, not as part of a tax avoidance scheme.
  2. Annual Limit: The maximum permitted subscription qualifying for front-end relief remains capped at £200,000 per tax year.
  3. Holding Period: To retain the front-end relief, the investor must hold the shares for a minimum period of five years.  The shares must carry no present or future preferential rights to dividends or assets on winding up.

Dividend Exemption

Investors holding VCT shares continue to benefit from tax-free dividends. Section 709 of the Income Tax (Trading and Other Income) Act 2005 (ITTOIA 2005) provides that no liability to income tax arises in respect of a VCT dividend if specific conditions are met.

The investor must be at least 18 years old and beneficially entitled to the dividend.  Furthermore, the exemption only applies to dividends generated from VCT shares acquired within the £200,000 annual limit.

“(4) Condition B is that— (a) in the tax year in which the shares were acquired the market value of all the shares acquired by the individual or any nominee of the individual in companies which were venture capital trusts at the time of acquisition did not exceed £200,000…”

Shares acquired for tax avoidance purposes are ignored for this exemption.

Capital Gains Tax (CGT) Disposal Exemption

Section 151A of the Taxation of Chargeable Gains Act 1992 (TCGA 1992) exempts qualifying disposals of VCT shares from Capital Gains Tax.  If a gain accrues, it is not a chargeable gain; conversely, if a loss accrues, it is not an allowable loss.

Unlike the front-end income tax relief, which requires a subscription for new shares, the CGT disposal relief applies to any acquisition of VCT shares, including secondary market purchases from previous holders.

To qualify for the CGT exemption, the company must have been an approved VCT both at the time of acquisition and at the time of disposal.  The value of VCT ordinary shares acquired by the taxpayer during the tax year must also not exceed the £200,000 permitted maximum.

Finance Act 2026: Changes to Qualifying Companies

Alongside the reduction in investor relief, the Finance Act 2026 introduced new thresholds for the companies that VCTs invest in, specifically focusing on knowledge-intensive companies and Northern Ireland businesses.

The Gross Assets Requirement

Section 297 of ITA 2007 outlines the gross assets requirement. The Finance Act 2026 updated these limits for single companies that are not “specified Northern Ireland companies”:

  • The value of the company’s gross assets must not exceed £30 million immediately before the issue of the relevant holding.
  • The value must not exceed £35 million immediately afterwards.

Annual Investment Limits

Section 292A of ITA 2007 governs the maximum amount a relevant company can raise annually through risk finance investments. The new 2026 limits are heavily tiered:

  • Knowledge-intensive company (not NI): £20 million.
  • Knowledge-intensive company (NI specified): £10 million.
  • Non-knowledge-intensive company (not NI): £10 million.
  • Non-knowledge-intensive company (NI specified): £5 million.
