How long does it take to set up a limited company in 2026/27?

For practitioners advising clients in the 2026/27 financial year, the timeline for incorporating and operationalising a UK limited company is no longer a simple overnight process. When clients ask how long does it take to set up a limited company, you must manage their expectations across multiple distinct phases: statutory identity verification, the formal Companies House registration, HMRC tax setups, and operational banking.

While the legal entity can exist within 24 hours, a fully trading, VAT-registered enterprise may take up to 40 working days to establish.

Phase 1: Pre-Incorporation Identity Verification

The most significant recent change to the incorporation timeline stems from the Economic Crime and Corporate Transparency Act 2023 (ECCTA 2023).

From 18 November 2025, all directors and Persons with Significant Control (PSCs) are legally required to verify their identity before or on incorporation.  Section 1110B of the Companies Act 2006 empowers the Secretary of State to mandate these strict verification procedures, which directors must complete via a Companies House app or an Authorised Corporate Service Provider (ACSP).

This adds a variable lead time. Until the prospective directors verify their identities, you cannot lawfully form the company.

Phase 2: Companies House Registration

Once identity verification is complete, the method of submission directly dictates the Companies House processing time and the statutory fee, following the February 2026 fee updates.

Standard Online Registration (24 Hours)

Standard digital incorporation is the most common route. Companies House aims to process most online filings within 24 hours.  The updated fee for this digital filing route is £100.

Same-Day Software Registration (Same Day)

If a client urgently requires a company for an immediate transaction, practitioners can use a same-day digital software service. This guarantees incorporation on the same day, provided you submit the application before the daily cut-off time, and attracts a higher fee of £156.

Paper Registration (1 Week+)

Submitting a paper IN01 form drastically extends the timeline. Companies House warns that paper documents sent by post might take a week or more to process.

Upon successful registration, the registrar issues a certificate of incorporation. Under section 15(4) of the Companies Act 2006, this document is conclusive evidence that the company is duly registered and legally exists.

“The certificate is conclusive evidence that the requirements of this Act as to registration have been complied with and that the company is duly registered under this Act.”

Phase 3: HMRC and Tax Registration

Creating the legal entity is only part of the setup. The company must also register for relevant taxes, which introduces further delays.

Corporation Tax (5 Working Days)

When you register the company at Companies House, HMRC is notified automatically of the incorporation.  However, HMRC’s COTAX system does not instantly generate the company’s Unique Taxpayer Reference (UTR).

“Use function TRCT (Trace Taxpayer) to make sure the case has not already been set up, remembering that it may take five working days for a company registering at Companies House to be automatically set up on COTAX”.

Your client will generally have to wait 5 working days before they possess the UTR required for Corporation Tax compliance.

VAT Registration (30 to 40 Working Days)

If the company requires immediate VAT registration, this represents the longest bottleneck in the setup process. HMRC officially states that they aim to confirm the receipt of a VAT registration application (particularly for groups) within 40 working days.

“We will write to you within 40 working days of getting your application to confirm the date the application was received.”

While standard single-company registrations can sometimes complete in approximately 30 days, practitioners should advise clients to expect up to a 40-day wait before receiving a VAT Registration Number (VRN).

Phase 4: Bank Account Setup

Finally, the company requires a corporate bank account to trade. While digital challenger banks can sometimes open accounts in 24 to 48 hours, traditional high-street banks routinely take several weeks to conduct their own Know Your Customer (KYC) and Anti-Money Laundering (AML) checks. This variable timeline runs concurrently with the HMRC registrations.

Summary Table: Company Setup Timelines (2026/27)

Element / Phase Statutory / Procedural Step Expected Timeline 2026 Fee
Identity Verification ECCTA 2023 Mandate Variable (Must be done prior/on incorporation). ACSP dependent
Standard Incorporation Online Companies House submission 24 hours. £100
Same-Day Incorporation Digital software submission Same day. £156
Paper Incorporation Form IN01 submission 1 week or more. Variable
Corporation Tax UTR COTAX automatic setup 5 working days. Nil
VAT Registration HMRC processing 30 to 40 working days. Nil

For completeness, practitioners should instruct clients to initiate their corporate banking application on the exact day the certificate of incorporation arrives, to ensure the banking compliance checks run simultaneously with the 5-day wait for the HMRC UTR.
