Engagement Letter

Thank you for engaging us to act on your behalf. I will be your main point of contact and will have primary responsibility for this assignment; the manager responsible for the ongoing work will be %STAFFID%.

This letter, including the schedule of services, and our standard terms and conditions, sets out the basis on which we will act. These documents contain the terms on which we will deliver the work for you so please read these carefully.

Who we are acting for

This agreement is between Carrington Blake Accountancy Ltd (‘the Company’) and %NAME% and Its Directors (‘You’).

We are acting for %NAME% only. Where you would like us to act for anyone else such as your spouse/a partnership/a limited/group company we will issue a separate engagement letter to them.

Period of engagement

Unless otherwise agreed within this letter our work will begin when we receive your implicit or explicit acceptance of this letter, we will therefore not be responsible for periods before that date
This is an ongoing arrangement with the fee being fixed for twelve months for the services listed below.

The Contract may be terminated at any time by either The Client or the Company (by an authorized representative) giving to the other notice in writing of termination which shall not be less than 90 days.

Each party shall be entitled to terminate the Contract forthwith by notice in writing to the other party if:

1. The other party commits any serious and irremediable breach of the Contract; or
2. The other party commits any serious but remediable breach of Contract and fails to remedy such breach within the period of 21 days from the service on the party of a notice specifying the breach and requiring it to be remedied.

On termination of the Contract for any reason, the Company shall remain entitled to be paid fees in respect of all Services executed or partly executed prior to the date of termination of the Contract.

The Client may without notice and without liability instruct the Company to cease work pursuant to a Contract at any time, where:

1. You reasonably believe that the Company has not observed any condition of confidentiality applicable to the Company from time to time;
2. The Company becomes insolvent, dissolved or subject to a winding-up petition;
3. The Company is unable to perform the Services for over 60 days.

Termination of the contract shall have no effect on any other agreements between the parties, which shall continue in full force and effect until terminated in accordance with these Terms.

These clauses set out the entire basis on which the Agreement may be terminated.

Scope of services

Full details of the work that you have instructed us to carry out are in the attached schedule and listed at the end of this paragraph. The schedule confirms the scope of the services to be provided and each party’s responsibilities in relation to the work to be carried out. If we agree to carry out additional services for you, we will provide you with a new or amended engagement letter. Only the services that are listed in the attached schedule are included within the scope of our instructions. If there is additional work that you wish us to carry out which is not listed in the schedule, please let us know and we will discuss with you whether it can be included in the existing scope of work.

Ad hoc and advisory work

The scope of our services provided to you will be only as set out above and all other services which we may offer are excluded. If you instruct us to do so, we will provide such other taxation, ad hoc and advisory services as may be agreed between us from time to time. These may be the subject of a separate engagement letter at our option. Where appropriate, we will agree with you a separate fee for any such work you instruct us to undertake. Examples of such work that you may wish to instruct us to undertake Where the advice is provided in writing, the information that you have provided to us and the query raised will be set out with our response to you. If specialist advice is required, we may need to seek this from, or refer you to, appropriate specialists.

Fees

Total Cost year £ + VAT

Initial Fee: £ + VAT, then 9 payments of £ + VAT

Please note that failed direct debits are subject to an additional fee of £25.

Our fees will be charged in accordance with our proposal and our standard terms and conditions.

Our fees may depend not only upon the time spent on your affairs but also on the level of skill and responsibility involved the importance and value of the advice that we provide, as well as the level of risk. If we provide you with an estimate of our fees for any specific work, then the estimate will be an approximation rather than a contractually binding amount.

It is our normal practice to quote fixed fees in advance of the work required for recurring services. Payment of accepted fixed fee quotes is always made by way of monthly direct debit or payment in full. Fixed fee arrangements will be reviewed annually in writing and invoices will be provided on receipt of the direct debit payments.

Our invoices are due for payment upon presentation. Our fees are exclusive of VAT which will be added where it is chargeable. Any disbursements we incur on your behalf and expenses incurred in the course of carrying out our work for you will be added to our invoices where appropriate.

We reserve the right to charge interest and recovery costs on late-paid invoices at the current rate under the Late Payment of Commercial Debts (Interest) Act 1998. We also reserve the right to suspend our services or terminate our engagement if any fees remain unpaid for over 30 days without our prior approval. If you do not accept that an invoiced fee is fair and reasonable you must notify us within 21 days of receipt, failing which you will be deemed to have accepted that payment is due.

If a client company, trust or other entity is unable or unwilling to settle our fees we reserve the right to seek payment from the individual giving us instructions on behalf of the client and you agree that we shall be entitled to enforce any sums due.

In the event that we cease to act for you then you agree to meet all reasonable costs of providing information to your new advisers. In particular, you agree to meet these costs where we are required by law to provide information to a successor firm.

As directors, you guarantee to personally pay any fees (including disbursements) for services provided to the company that the company is unable to pay. This clause shall become effective in the event of a receiver or liquidator being appointed to the company or the company otherwise being wound up.

In some cases, you may be entitled to assistance with your professional fees, particularly in relation to an investigation into your affairs by HMRC. Assistance may be provided through insurance policies you hold or via membership in a professional or trade body. Other than where such cover was arranged by or through us you will need to advise us of any such insurance cover that you have. You will remain liable for our fees regardless of whether all or part are liable to be paid by your insurers.

Insofar as we are permitted to do so by law or professional guidelines, we reserve the right to exercise a lien over all funds, documents and records in our possession relating to all engagements for you until all outstanding fees and disbursements are paid in full.

Limitation of liability

We will provide our services with reasonable care and skill. Our liability to you is limited to losses, damages, costs and expenses caused by our negligence or wilful default. We will not be liable if such losses due to the acts or omissions of any other person or due to the provision to us of incomplete, misleading or false information or if they are due to a failure to act on our advice or a failure to provide us with relevant information.

We will not be liable to you for any delay or failure to perform our obligations under this Terms of Business or our engagement letter if the delay or failure is caused by circumstances outside our reasonable control.

We will not be responsible or liable for any loss, damage or expense incurred or sustained if information material to the service we are providing is withheld or concealed from us or misrepresented to us. This applies equally to fraudulent acts, misrepresentation or wilful default on the part of any party to the transaction and their directors, officers, employees, agents or advisers.

This exclusion shall not apply where such misrepresentation, withholding or concealment is or should (in carrying out the procedures which we have agreed to perform with reasonable care and skill) have been evident to us without further enquiry.

Our work is not unless there is a legal or regulatory requirement, to be made available to third parties without our written permission and we will accept no responsibility to third parties for any aspect of our services or work that is made available to them. You agree to indemnify us and our agents in respect of any claim (including any claim for negligence) arising out of any unauthorised disclosure by you or by any person for whom you are responsible of our advice and opinions, whether in writing or otherwise. This indemnity will extend to the cost of defending any such claim, including payment at our usual rates for the time that we spend in defending it.

The advice and information we provide to you as part of our service is for your sole use and not for any third party to whom you may communicate it unless we have expressly agreed in the engagement letter that a specified third party may rely on our work. We accept no responsibility to third parties, including any group company to whom the engagement letter is not addressed, for any advice, information or material produced as part of our work for you that you make available to them. A party to this agreement is the only person who has the right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.

You give us the authority to correct errors made by HM Revenue & Customs where we become aware of them. We will not be liable for any loss, damage or cost arising from our compliance with statutory or regulatory obligations.

We specifically draw your attention to our standard terms and conditions and the relevant clause in each schedule of service which set out the basis on which we limit our liability to you and to others. These should be read in conjunction with the relevant paragraph of our standard terms and conditions which excludes liability to third parties. These are important clauses, please read them and ensure you are happy with them.

Continuity arrangements

Please note that we have arrangements in place for an alternate to deal with matters in the event of permanent incapacity or illness. This provides protection to you in the event that I cannot act on your behalf. Where necessary, an alternate shall have access to all of the information I hold in order to make initial contact with you and agree the work to be undertaken during my incapacity. You can choose to appoint an alternative individual at that stage if you wish.

Changes in the law

We will not accept responsibility if you act on advice previously given by us without first confirming with us that the advice is still valid in the light of any change in the law or your circumstances.

We will accept no liability for losses arising from changes in the law or the interpretation thereof that occur after the date on which the advice is given.

Your responsibilities, you are legally responsible for:

Ensuring that your returns are correct and complete and in an appropriate digital format and capture the appropriate level of data
Ensuring your record-keeping is compliant with the new requirements for the digital recording and transfer of data
Filing any returns by the due date; and
Paying VAT on time.

Failure to do any of these may lead to penalties and interest.

Legal responsibility for approval of the return cannot be delegated to others. You agree to check the returns that we have prepared for you are correct and complete before approving them.

You are no less responsible for errors in unapproved returns, submitted on the basis of the information provided to and processed by us, than if you had confirmed your approval of the returns. You are responsible for bringing to our attention any errors, omissions or inaccuracies in your VAT returns that you become aware of after the returns have been submitted in order that we may assist you in making a voluntary disclosure.

You are responsible for ensuring that the information provided is, to the best of your knowledge, accurate and complete and that all digital links are in the manner prescribed. The returns are prepared solely on the basis of the information provided by you and we accept no responsibility for any liabilities arising due to inaccuracies, omissions or breakdowns in digital links concerning the information that you provide which may lead to a misdeclaration on which penalties and interest may arise.

You agree to keep us informed of material changes in your circumstances that could affect your VAT returns. If you are unsure whether the change is material or not, please let us know so that we can assess the significance.

You will forward to us HMRC statements of account, copies of notices of assessment, letters and other communications received from HMRC in sufficient time to enable us to deal with them as may be necessary within the statutory time limits. Although HMRC has the authority to communicate with us when form 64-8 or online authorization has been submitted, it is essential that you let us have copies of any correspondence received because HMRC is not obliged to send us copies of all communications issued to you.

We shall not be liable to any penalty or interest charge for failure to complete or submit a VAT return on time where the information has not been supplied to us within the time period outlined above.

Secure communications and transfer of data

Here at Carrington Blake Accountancy we take your privacy and the privacy of the information we process seriously. We will only use your personal information and the personal information you give us access to under this contract to administer your account and to provide the services you have requested from us.

We attach our privacy notice setting out our approach to handling your information. In signing one copy of this letter you will be indicating that you have received and read our privacy notice.

I agree to your appointed alternate having access to my records in the event of your illness or permanent incapacity.
