Frequently asked questions
What is the role of a company liquidator in Chapel-en-le-Frith?
A company liquidator is a licensed insolvency practitioner who takes control of a company's assets when it is being wound up. Their role is to realise the assets, settle outstanding debts with creditors in the correct statutory order, and distribute any remaining funds to shareholders. In a creditors' voluntary liquidation, the liquidator also investigates the directors' conduct and reports to the Insolvency Service if any wrongful trading or other misconduct is found. For a solvent company, a liquidator handles the formal closure and distribution of surplus assets.
How much does it cost to appoint a liquidator for my company?
The cost of liquidation depends on the complexity of your company's affairs, the number of creditors, and the value of assets. For a simple creditors' voluntary liquidation with no assets, fees typically range from £3,000 to £5,000 plus VAT and disbursements. If the company has assets, the liquidator's fee is usually based on a percentage of the funds realised, subject to approval by the creditors. We always provide a clear fee quote before you commit, and we explain how the fees are paid from company assets or by the directors if necessary.
What is the difference between a CVL and an MVL?
A creditors' voluntary liquidation (CVL) is used for an insolvent company that cannot pay its debts. The directors call a meeting of shareholders to pass a resolution to wind up the company, and then a separate meeting of creditors is held to confirm the liquidator's appointment. A members' voluntary liquidation (MVL) is for a solvent company where directors and shareholders decide to close the business for commercial reasons, such as retirement or restructuring. In an MVL, the directors must swear a statutory declaration of solvency, and the liquidator distributes assets to shareholders after all debts are paid.
Can I continue trading after my company enters liquidation?
No. Once a company enters liquidation, the liquidator takes control of all company assets and operations. Directors lose their powers to manage the business, and trading must cease immediately unless the liquidator specifically authorises it to complete a contract or preserve asset value. If you continue trading after liquidation has begun, you may be personally liable for any new debts incurred, and this could constitute wrongful trading. If you are considering liquidation, stop trading and seek professional advice before making any decisions.
What happens to employees when a company is liquidated?
When a company enters liquidation, all employees are automatically dismissed from the date of the winding-up order or resolution. The liquidator will provide each employee with a claim form to submit to the Redundancy Payments Service (RPS) for statutory redundancy pay, unpaid wages, holiday pay, and notice pay. The RPS pays these claims from the National Insurance Fund, but the amounts are capped by law. The liquidator will also provide a reference letter for employees seeking new jobs. Directors who are also employees may have limited claims, so it is important to seek advice.
How long does the liquidation process take in Chapel-en-le-Frith?
The length of a liquidation varies depending on the complexity of the case. A straightforward creditors' voluntary liquidation with no assets and few creditors can be concluded within 6 to 9 months. If the company has assets to sell, legal claims to pursue, or complex creditor disputes, the process can take 12 to 18 months or longer. The liquidator must also hold a final meeting of creditors to report on the winding-up, which typically occurs within a year of appointment. We provide a realistic timeline after reviewing your company's situation.
