1. Applicable LawOur engagement letter, the schedule ofservices and our standard terms andconditions of business are governed by,and should be construed in accordancewith English Law. Each party agrees thatthe courts of England will have exclusivejurisdiction in relation to any claim,dispute or difference concerning thisengagement letter and any matter arisingfrom it. Each party irrevocably waives anyright to object to any action being broughtin those Courts, to claim that the actionhas been brought in an inappropriateforum, or to claim that those Courts do nothave jurisdiction.2. Client identificationAs with other professional services firms,we are required to identify our clients forthe purposes of the UK anti-moneylaundering legislation. We may requestfrom you, and retain, such informationand documentation as we require forthese purposes and/or make searches ofappropriate databases.3. Client moneyWe may from time to time hold money onyour behalf. Such money will be held intrust in a client bank account, which issegregated from the firm’s funds.4. Commissions and other benefitsIn some circumstances we may receivecommissions or other benefits forintroductions to other professionals or inrespect of transactions which we arrangefor you. Where this happens we will notifyyou in writing of the amount and terms ofpayment and receipt of any suchcommissions or benefits. The fees youwould otherwise pay will be reduced bythe amount of the commissions orbenefits. When we reduce the fees thatwe would otherwise charge by the amountof commission retained, we will apply theHMRC concession which allows VAT tobe calculated on the net fee afterdeduction of the commission.5. ComplaintsWe are committed to providing a highquality service that is both efficient andeffective. ConfidentialityCommunication between us isconfidential and we shall take allreasonable steps to keep confidentialyour information except where we arerequired to disclose it by law, byregulatory bodies, by our insurers or aspart of an external peer review. Unlesswe are authorised by you to discloseinformation on your behalf thisundertaking will apply during and afterthis engagement.We may subcontract work on your affairsto other tax or accounting professionals.The subcontractors will be bound by ourclient confidentiality terms.We reserve the right, for the purpose ofpromotional activity, training or for similarbusiness purpose, to mention that youare a client. As stated above we will notdisclose any confidential information.7. Conflicts of InterestWe will inform you if we become aware ofany conflict of interest in our relationshipwith you or in our relationship with youand another client. We have safeguardsthat can be implemented to protect theinterests of different clients if a conflictarises. Where conflicts are identifiedwhich cannot be managed in a way thatprotects your interests then we regret thatwe will be unable to provide furtherservices.8. Data ProtectionWe will comply with the provisions of theGeneral Data Protection Regulationswhen processing personal data aboutyou, your directors and employees andyour/their family/ies. In order to carry outthe services of this engagement and forrelated purposes, such as updating andenhancing our client records, analysis formanagement purposes and statutoryreturns, legal and regulatory complianceand crime prevention, we may obtain,process, use and disclose personal dataabout you.Our Privacy Notice is available on ourwebsite.9. DisengagementShould we resign or be requested toresign we may issue you with adisengagement letter to ensure that ourrespective responsibilities are clear.
